Overview

Welcome to Houlte.

Houlte operates this website and online store, including the content, features, tools, products, and services available through it, collectively referred to as the “Services.”

Throughout these Terms of Service, “Houlte,” “we,” “us,” and “our” refer to the business operating this store under the Houlte brand. “You” and “your” refer to any person accessing or using the Services or purchasing products or services from Houlte.

These Terms of Service, together with our Return & Refund Policy, Shipping & Delivery Guide, applicable Warranty Policy, and any additional terms expressly incorporated into your transaction, govern your use of the Services and purchases for delivery in the United States.

Product-specific, promotional, trade, and custom-order terms apply when clearly disclosed and accepted as part of the relevant transaction. Our Privacy Policy separately explains how we collect, use, and disclose personal information and describes your privacy rights and choices.

By accepting these Terms at checkout, during account registration, or through another process that clearly identifies your acceptance, you agree to be bound by them. Other use of the Services is subject to these Terms to the extent an enforceable agreement is formed under applicable law.

Please review these Terms carefully, particularly the provisions concerning order acceptance, cancellations, returns, applicable fees, warranties, limitations of liability, and dispute resolution.

If you do not agree to these Terms, do not place an order or use any Services that require your acceptance.

Our online store is powered by Shopify. Purchases made through this store are transactions between you and Houlte.

1. Eligibility and Account Security

You must have the legal capacity to enter into a binding contract and be at least the age of majority in your jurisdiction to place an order.

If you purchase on behalf of a business, organization, or another person, you represent that you have the authority to bind that party to the applicable transaction terms.

You must provide accurate, complete, and current account, contact, billing, shipping, and payment information. You are responsible for reviewing that information before submitting an order and promptly notifying us of any necessary correction.

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for activity you authorize through your account. You may not sell, transfer, or permit unauthorized use of your account. Notify us promptly if you suspect unauthorized access.

We may require reasonable verification, restrict account access, or suspend an affected transaction when necessary to address suspected fraud, unauthorized activity, security concerns, or a material violation of these Terms.

2. Orders and Acceptance

Submitting an order constitutes an offer to purchase the identified products or services under the terms disclosed at the time of purchase.

An automated acknowledgment confirms receipt of your order. It does not, by itself, constitute acceptance unless it expressly states otherwise. Houlte accepts an order when we expressly confirm acceptance or dispatch the applicable products, whichever occurs first.

Payment authorization or collection does not, by itself, guarantee product availability or fulfillment. If we decline an order after collecting payment, we will refund the amount collected for the declined order.

Before acceptance, we may reject or limit an order for legitimate business reasons, including product unavailability, delivery restrictions, material pricing errors, unsuccessful payment verification, suspected fraud, duplicate orders, unauthorized resale, or suspected abuse of promotional offers.

After acceptance, cancellation or modification by Houlte will occur only as permitted by the applicable transaction terms and law. We will not require you to accept a materially different product or an increased price without your agreement.

We will use the contact information associated with your order to communicate any material issue requiring clarification, modification, or cancellation.

The cancellation window described in our Return & Refund Policy is measured from order placement, not from a later acceptance date.

3. Availability, Pricing Errors, and Corrections

Product availability, inventory information, prices, and promotional offers may change before an order is accepted.

We may correct genuine typographical, calculation, catalog, or system errors affecting product descriptions, prices, discounts, shipping information, or availability.

If a material error affects your order, we may contact you to offer the corrected terms or, where legally permitted, cancel the affected item and issue the applicable refund.

We will not automatically charge a higher price to correct an error without your authorization.

We may discontinue products or limit quantities offered through the Services. These rights do not permit us to disregard obligations already established by an accepted order.

4. Payments and Outstanding Amounts

You represent that you are authorized to use the payment method submitted and that the information you provide is accurate.

You agree to pay the purchase price and other charges properly disclosed and accepted as part of your order. Taxes, shipping, and delivery-service charges are treated as stated in the applicable offer, checkout, and Shipping & Delivery Guide. Charges expressly included in the agreed price will not be added again.

We may request reasonable payment verification or hold an unfulfilled order while investigating a failed, reversed, or potentially unauthorized payment, subject to applicable law.

Payment authorizations, processing delays, and temporary account entries are administered by the relevant payment provider and are not separate promises by Houlte concerning that provider’s services.

If an amount remains lawfully due, we may request payment, provide supporting records, and pursue available legal remedies. Collection costs or legal fees are recoverable only where authorized by applicable law or an enforceable agreement.

Nothing in these Terms authorizes an undisclosed charge or a new debit to your payment method without the authorization required by law and applicable payment-provider rules.

5. Promotions, Discounts, Bundles, and Gifts

Promotions are subject to the eligibility requirements, qualifying products, purchase thresholds, expiration dates, and combination restrictions stated in the offer.

Discount codes and coupons are single-use and non-transferable unless the offer expressly provides otherwise. They have no cash value.

Returns and cancellations are calculated using the price and discount allocated to the affected merchandise in the original transaction. A discount allocated to a canceled or returned item is not transferred to another item. Remaining merchandise retains its original allocated discount, except where a different adjustment was clearly disclosed in the applicable promotion terms before purchase.

Partial returns of sets, bundles, or orders containing promotional gifts are governed by the conditions disclosed for that offer. We will not introduce a new gift charge or retroactive full-price adjustment that was not disclosed before purchase.

We may refuse promotional benefits obtained through fraud, duplicate-account abuse, unauthorized code distribution, or other conduct that violates the disclosed offer terms.

A legitimate return, honest review, or good-faith payment dispute is not, by itself, promotional abuse.

6. Product Descriptions and Natural Variations

We make reasonable efforts to describe our products accurately, including their materials, dimensions, finishes, specifications, and intended uses.

Product photographs and renderings are intended to illustrate the product. Appearance may vary with lighting, display settings, photography, natural material characteristics, and production batches.

Natural variations in wood grain, stone veining, texture, tone, and similar characteristics do not, by themselves, establish a defect. Minor measurement differences may also occur.

These provisions do not excuse shipment of the wrong item, an undisclosed material substitution, or a product that materially differs from its description or agreed specifications.

Before ordering, review the selected size, finish, configuration, quantity, and other product options. Contact Customer Care before purchase if a particular specification is essential to your intended use.

Accessories and styling objects shown in photographs are not included unless the product description identifies them as part of the purchase.

7. Measurements, Installation, and Site Conditions

You are responsible for assessing the intended installation location and delivery access, including doorways, hallways, stairs, elevators, clearances, and other relevant site conditions.

Before assembly or installation, inspect the product and confirm that its dimensions, configuration, and selected finish are suitable for your space.

Follow the supplied instructions and safety warnings. Electrical, plumbing, wall-mounting, and other work requiring professional qualifications or permits must be performed by appropriately qualified persons in accordance with applicable requirements.

General styling, layout, or installation information from Houlte is not a substitute for a site inspection or professional electrical, plumbing, structural, or engineering advice.

Unless expressly included in your order, Houlte does not provide installation, site preparation, structural alterations, or verification of site conditions.

Damage caused by improper handling, installation, unauthorized modification, misuse, or unsuitable site conditions is not treated as a manufacturing defect. This exclusion applies only to the extent the damage results from that cause and does not eliminate coverage for an unrelated defect.

8. Shipping, Delivery, and Customer Cooperation

Delivery availability, service levels, estimated timelines, address changes, appointments, inspection requirements, and delivery-related fees are governed by our Shipping & Delivery Guide.

Houlte may select appropriate carriers, shipping routes, fulfillment facilities, and packaging arrangements consistent with the agreed delivery service. An order may be delivered in multiple shipments.

You must provide accurate delivery information, maintain a working contact number, respond to reasonable carrier communications, and make the arrangements required for your selected delivery service.

Actual address-correction, forwarding, redelivery, rescheduling, storage, interception, or return-transportation charges caused by incorrect customer information, a customer-requested change, or a customer’s failure to cooperate with an agreed delivery may be charged as disclosed in the Shipping & Delivery Guide.

Refusing delivery does not automatically cancel an order without cost.

Charges resulting from a Houlte fulfillment error are not treated as customer-caused delivery expenses.

A carrier’s tracking entry or delivery signature may be considered as evidence but does not automatically resolve every claim of loss, misdelivery, or concealed damage.

9. Estimated Timelines and Events Beyond Our Control

Processing, shipping, and delivery timelines are estimates unless a particular commitment is expressly identified as guaranteed.

Weather, transportation disruptions, carrier delays, customs inspections, port congestion, natural disasters, and other circumstances beyond our reasonable control may affect performance.

To the extent permitted by law, Houlte is not responsible for losses caused solely by such circumstances and not by our failure to fulfill an applicable obligation.

We will provide required delay notices, seek consent to revised shipment timing when required, and issue cancellation refunds where required by law.

A statement that a timeline is estimated does not eliminate these obligations.

Please do not schedule non-refundable installation appointments or other time-sensitive work solely on the basis of an estimated arrival date.

10. Returns, Exchanges, and Cancellations

Our Return & Refund Policy governs return eligibility, the 100-day return-request period, product-condition requirements, exchanges, cancellations, refunds, and applicable fees.

Where that policy applies, customer-preference returns and certain customer-requested changes or cancellations are subject to the stated 20% restocking fee. Missing or discarded original packaging is subject to the stated $59 repackaging fee. Applicable return transportation and other actual logistics expenses may also apply.

These fees apply only in the circumstances described in the relevant policy and to the extent permitted by law. They do not authorize duplicate recovery of the same expense or deductions from a refund that the law requires to be paid in full.

Delivery-address changes are governed by the Shipping & Delivery Guide. Product changes and order cancellations are governed by the Return & Refund Policy.

All returns require authorization and the correct return address from Houlte. Do not return an item to an address shown on the original shipping label unless specifically instructed to do so.

An unauthorized return, disposal of the product before review, or inadequate return packaging may affect our ability to verify a claim and the available refund, subject to applicable law.

11. Claims Review and Available Resolutions

Houlte may request reasonable information necessary to verify a purchase and evaluate a claim, including order details, product labels, photographs, videos, shipping records, and a description of the issue.

Please preserve the product and relevant packaging while the claim is reviewed, unless Houlte provides other instructions or retention would create a safety risk.

Visible shipping damage must be reported within the period specified in our Return & Refund Policy. That reporting procedure does not shorten a separate warranty period or eliminate rights that cannot legally be limited.

We assess claims using the available evidence and the applicable policy. Depending on the issue, an appropriate resolution may include replacement parts, component replacement, repair, an exchange, a partial refund, or a return for refund.

Where permitted by the applicable policy and law, Houlte may select an appropriate repair or replacement remedy. Minor damage or an issue that can reasonably be repaired does not automatically entitle the customer to a full refund of the entire product.

A partial-refund settlement in place of another available remedy requires the customer’s agreement. It does not waive unrelated claims.

Local repairs requiring reimbursement must be authorized in advance, except where applicable law provides otherwise. Houlte is not responsible for unauthorized repair expenses merely because a customer independently incurred them.

12. Custom Orders and Trade Purchases

Custom, made-to-order, and trade purchases may be subject to additional written terms addressing specifications, approvals, deposits, production, changes, cancellation, delivery, and intended use.

Material restrictions must be disclosed before the customer becomes bound by the relevant purchase or production commitment.

Customers are responsible for checking and approving their requested custom specifications. Once approved production begins, changes or cancellation may be restricted under the agreed custom-order terms.

An ordinary pre-order or extended-lead-time item is not automatically a custom product.

A trade discount does not, by itself, establish suitability for commercial use or extend a residential warranty to a commercial installation.

Additional terms in a customer’s purchase order do not amend Houlte’s terms unless Houlte expressly accepts those additional terms in writing, except as otherwise required by applicable law.

13. Product Warranties

Express product warranties are governed by the applicable Warranty Policy and product-specific warranty documentation supplied or made available for the purchase.

This section does not create a new warranty or extend an existing warranty’s duration, coverage, or permitted use.

A representative, installer, carrier, or third party cannot change Houlte’s written warranty without authorization. This provision does not negate an express warranty or representation that applicable law makes binding on Houlte.

We may require reasonable proof of purchase and an opportunity to evaluate the claimed defect.

Nothing in these Terms disclaims a written product warranty provided by Houlte, excludes an implied warranty where exclusion is prohibited, or eliminates a remedy that applicable law makes non-waivable.

14. Website Availability and Digital-Service Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND OPTIONAL DIGITAL TOOLS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

We do not warrant that the website or optional digital tools will be continuously available, compatible with every device, free of technical errors, or immune from unauthorized interference.

We may maintain, update, suspend, or discontinue website features when reasonably necessary for business, security, or operational purposes.

These digital-service disclaimers do not disclaim product warranties, excuse materially misleading product information, or remove obligations associated with accepted orders.

15. Intellectual Property and Permitted Use

Houlte or its licensors own the rights in the protected website content, branding, photographs, videos, graphics, original descriptions, designs, software, and other materials provided through the Services. User-submitted content remains subject to Section 16.

You may use the Services for legitimate shopping, customer support, and authorized trade activities. You may retain your order documents and product instructions for those purposes.

Unless authorized in writing or permitted by law, you may not reproduce, republish, distribute, modify, commercially exploit, or create derivative works from Houlte’s protected content.

You may not use our branding to impersonate Houlte, imply an unauthorized affiliation, advertise counterfeit products, or operate a misleading website or account.

No permission is granted to harvest protected content in bulk, use it to build a competing commercial catalog, or use it for commercial model training without authorization, except to the extent applicable law independently permits such use.

Houlte reserves the right to seek removal of infringing content and pursue available legal remedies.

16. Reviews, Photographs, and Other Submissions

You retain ownership of content you submit and represent that you have the necessary rights and permissions to provide it.

For content you voluntarily submit for public display, you grant Houlte a non-exclusive, worldwide, royalty-free license to host, reproduce, display, distribute, and make reasonable formatting adaptations in connection with the Services and promotion of the relevant products. We may permit service providers to exercise these rights on our behalf.

Additional permission will be obtained where required for a particular advertising use. Private customer-service correspondence is not automatically licensed for public advertising.

We may remove or restrict content that is fraudulent, unlawful, infringing, unrelated to the Services, contains private information, or violates reasonable content standards. We will not remove a review solely because it is negative or alter it to misrepresent the reviewer’s opinion.

Any legally required disclosure of compensation, a free product, or another incentive must accompany an endorsement.

Nothing in these Terms restricts honest reviews, lawful complaints, or communications with regulators. A customer’s legitimate refund or warranty claim is not conditioned on withdrawing an honest review.

17. Third-Party Services and Relationship with Shopify

Independent payment services, financing providers, applications, tools, and external websites may have their own terms and privacy policies. Review those terms before using the relevant service.

Houlte is not responsible for independently purchased third-party services that we do not operate or contractually undertake to provide. Using a service provider to fulfill a Houlte obligation does not, by itself, eliminate that obligation.

Houlte is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Houlte. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Houlte, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Houlte.

The preceding release applies only to the extent permitted by applicable law.

18. Privacy, Communications, and Transaction Records

Our Privacy Policy describes our collection, use, disclosure, retention, and protection of personal information.

We may send order confirmations, delivery updates, account notices, and customer-service communications using the contact details you provide. Marketing consent and privacy choices are handled separately where required.

Subject to our Privacy Policy and applicable law, we may retain transaction records, policy versions, acceptance records, correspondence, delivery evidence, and other relevant information to fulfill orders, investigate claims, prevent fraud, and establish or defend legal rights.

Where legally permitted, such records may be presented to payment providers, carriers, insurers, courts, regulators, or other parties involved in resolving a claim. Their existence does not make them conclusive or prevent a customer from disputing their accuracy.

Any additional consent required for electronic delivery of legally mandated notices will be obtained separately.

19. Prohibited Conduct and Fraud Prevention

You may not use the Services for fraud, unlawful activity, unauthorized access, identity misrepresentation, payment abuse, infringement, harassment, or interference with the rights of others.

Prohibited conduct includes submitting knowingly false claims or fabricated evidence; seeking duplicate reimbursement for the same loss; introducing malicious code; circumventing security controls; collecting personal information without authorization; and using automated processes to disrupt the Services or extract protected content without permission.

Automated agents acting on your behalf must respect applicable access restrictions and must not misrepresent their identity or bypass measures intended to restrict access.

These restrictions do not prohibit authorized search indexing, legitimate accessibility tools, approved integrations, or other uses permitted by law.

We may investigate suspected violations, preserve relevant evidence, restrict affected activity, refuse future transactions for legitimate reasons, and pursue lawful remedies.

Exercising a protected consumer right is not, by itself, a violation of these Terms.

20. Payment Disputes and Duplicate Reimbursement

Please contact Customer Care if you believe an order or payment has not been handled correctly. This request does not require you to delay or waive a dispute right available through your bank or payment provider.

If an order is already subject to a payment dispute or chargeback, we may coordinate a refund through the applicable provider to avoid duplicate reimbursement, consistent with applicable refund deadlines and provider requirements.

You may not knowingly obtain or retain duplicate reimbursement for the same amount. If a duplicate credit occurs, we may request correction through the provider or pursue recovery through a lawful process.

We may contest a claim using relevant transaction, communication, fulfillment, and delivery evidence.

We do not impose a penalty merely because a customer initiates a good-faith payment dispute, and we do not require withdrawal of a dispute as a condition of receiving a remedy required by law.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOULTE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM THE SERVICES OR A PRODUCT TRANSACTION.

This limitation includes lost profits, lost business opportunities, loss of data, and consequential project-delay costs, but only where those losses may lawfully be excluded.

SUBJECT TO THE EXCEPTIONS BELOW, HOULTE’S TOTAL AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT OR SERVICE TRANSACTION WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO HOULTE FOR THE PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM.

These limitations apply regardless of the legal theory asserted and even if the possibility of the relevant loss was disclosed.

They do not exclude or limit liability for fraud, willful misconduct, gross negligence, death or personal injury caused by our negligence or a defective product, or any liability or statutory remedy that cannot lawfully be excluded or limited.

They also do not reduce a refund, warranty remedy, or other performance obligation expressly owed under the applicable purchase terms. If a limited remedy fails of its essential purpose, any remedies required by applicable law remain available.

Where a jurisdiction does not permit a particular limitation, that limitation applies only to the extent permitted.

22. Indemnification

To the extent permitted by law, you agree to indemnify Houlte and its affiliates, officers, employees, and service providers against third-party claims and reasonable associated costs arising from your fraud, unlawful misuse of the Services, infringement of another party’s rights, or material breach of these Terms.

This obligation applies only to the extent the claim is attributable to your conduct. It does not cover liability caused by Houlte’s own negligence, defective products, misconduct, or violation of law.

We will provide reasonable notice of a covered claim and an opportunity for appropriate participation in its defense. We will not agree to a settlement imposing an admission of wrongdoing or a non-monetary obligation on you without your consent.

This section does not require reimbursement of Houlte’s costs merely because you pursue a good-faith consumer claim.

23. Governing Law and Dispute Resolution

These Terms and transactions governed by them are subject to the laws of the State of Colorado and applicable United States federal law, without regard to conflict-of-laws rules, except where mandatory law requires otherwise.

Before commencing a court proceeding, please send a written description of the dispute to service@houlte.com, including the relevant order number, facts, and requested resolution. Houlte will use the contact information associated with the transaction when seeking to resolve a dispute with you.

The parties should make a reasonable effort to resolve the matter informally. This process does not extend or suspend a legal deadline without a valid agreement, prevent urgent relief, or restrict communications with a regulator or payment provider.

Except where applicable law requires or permits a different forum, the parties agree to the exclusive jurisdiction of the state courts located in the City and County of Denver, Colorado, or the United States District Court for the District of Colorado.

Either party may bring an eligible individual claim in a small-claims court having lawful jurisdiction.

The choice of Colorado law and forum does not deprive a consumer of non-waivable protections or remedies available under otherwise applicable law.

These Terms do not create a mandatory arbitration requirement or require a separate waiver of a jury trial.

24. Suspension, Changes, Assignment, and General Provisions

Suspension

We may suspend accounts, restrict affected Services, or decline future transactions for legitimate fraud-prevention, security, legal, or material contractual reasons.

Suspension does not eliminate obligations relating to existing orders, valid refunds, or applicable warranties.

Changes to These Terms

We may revise these Terms prospectively and will provide notice and obtain acceptance where required.

The version governing an existing purchase remains the version accepted for that purchase, unless a later change is validly agreed. Posting a new version does not retroactively remove accrued rights.

Assignment

You may not assign contractual obligations without our written consent, except where applicable law permits otherwise.

Houlte may transfer these Terms in connection with a lawful restructuring, merger, or business transfer, provided that the transfer does not unlawfully reduce protections or remedies associated with an existing transaction.

Policy Priority

Specific disclosed and accepted transaction terms control over general language addressing the same subject.

The Return & Refund Policy controls return and cancellation procedures. The Shipping & Delivery Guide controls delivery services and address changes. Applicable warranty documentation controls warranty coverage.

Mandatory law takes priority over conflicting provisions.

Entire Agreement

These Terms and the applicable incorporated documents constitute the agreement between you and Houlte on their subject matter and supersede prior versions addressing the same subject.

This provision does not exclude liability for fraud or negate a representation that applicable law makes binding.

Severability and Waiver

If a provision is unenforceable, the remaining provisions continue in effect unless the law requires otherwise.

Failure to enforce a provision on one occasion is not a waiver of the right to enforce it on another.

A discretionary accommodation in one case does not require the same accommodation in an unrelated case.

Survival

Provisions concerning accrued payment obligations, intellectual property, applicable claim remedies, limitations of liability, indemnification, and dispute resolution survive termination to the extent their nature requires.

All product returns require prior authorization from Houlte. Return locations may vary by product and order. Do not send merchandise to an address shown on an original shipping label or elsewhere on our website unless Customer Care has specifically confirmed that address for your authorized return.
